Terms of Service

Acceptance

By creating a Relay account or using any part of the Relay platform at getrelay.us, you agree to these Terms of Service. They form a binding agreement between you (or the business you represent) and Ventrax LLC, a Wyoming limited liability company.

If you're using Relay on behalf of a company, you confirm you have authority to bind that company to these terms. If you don't agree, don't use the service.

"Relay," "we," "us," and "our" all refer to Ventrax LLC. "You" means the account holder or any user operating under that account.

The service

Relay provides two things:

Relay Agent

An automated shipping agent for store owners. You connect your store (Shopify, WooCommerce, and others) and your own carrier account, set carrier preferences and spending rules, and the agent handles rate comparison, carrier selection, and label generation on your behalf. Direct mail (postcards, letters, certified mail) through our integration with Lob is planned and not yet available.

Relay API

A developer-facing REST API and MCP server that exposes carrier rates, label generation, and shipment tracking to your own applications and AI agents, with direct mail tools planned. API usage is subject to the included volumes on your plan.

We reserve the right to modify, suspend, or discontinue any part of the service with reasonable notice. We'll do our best not to disrupt active workflows without warning.

Account responsibilities

You're responsible for everything that happens under your account. That includes keeping your API keys and login credentials secure. Don't share your production keys with people who shouldn't have them. If you suspect a key has been compromised, rotate it immediately from your dashboard.

You must provide accurate information when you register and keep your account details current. Providing false information, including fake business details, is grounds for termination.

You may not allow multiple people to share a single account as if it were a team account. Each individual or business entity that uses Relay should have its own account.

Billing

Prepaid credit wallet

Alongside your plan, Relay runs a prepaid credit wallet for per-order and API usage fees. You add funds to your wallet through Stripe checkout in preset amounts starting at $25. Credits don't expire.

Your plan (Starter, Growth, or Scale) sets the per-order automation fee and the volume of labels and API calls included each month before that fee applies. Credits are deducted from your wallet to cover Relay's service fees: the per-order automation fee, API usage beyond your plan's included volume, and physical mail once that feature is available. Growth and Scale are monthly subscriptions you can start, change, or cancel yourself in-app, billed through Stripe. Cancellations take effect at the end of the current billing period.

Postage on your own carrier accounts

At launch, Relay operates in "bring your own carrier" mode: you connect your own Shippo account, and postage for every label is billed by your carrier directly, at your negotiated rates. Relay does not collect, hold, or mark up postage funds in this mode. Your wallet only covers Relay's own automation and API fees, not carrier postage.

Relay Rates (coming soon)

We plan to offer managed postage ("Relay Rates") for merchants without their own carrier account, pending carrier approval. When that feature launches, it will be covered by its own terms describing how postage funds are held, deducted, and refunded. Nothing in this section applies until Relay Rates is live and those terms are published.

Refunds and payment failures

Wallet credits are non-refundable once spent on a Relay service fee. Unspent wallet balances can be refunded if you close your account. If a top-up payment fails, no charge is made and no credits are added; retry the checkout from your dashboard.

Acceptable use

You may not use Relay to:

  • Ship prohibited items, including but not limited to hazardous materials that violate USPS, UPS, FedEx, or DHL regulations, controlled substances, firearms without proper licensing, or anything else prohibited by federal, state, or local law
  • Misrepresent package contents, weight, or declared value to carriers
  • Abuse USPS Click-N-Ship, commercial plus rates, or any carrier discount program beyond its intended terms
  • Resell access to the Relay API to third parties without written permission from Ventrax LLC. Building a product on top of the API for your own customers is fine. Running a Relay reseller operation is not.
  • Send direct mail that violates CAN-SPAM, TCPA, or applicable state regulations
  • Attempt to reverse-engineer, scrape, or probe the service in ways that violate our API rate limits
  • Use the service for any purpose that is illegal, fraudulent, or that violates the rights of others

We may suspend or terminate accounts that violate these rules without notice if the violation is severe. For less serious violations, we'll generally give you a warning first.

Agent autonomy and your responsibility

Relay's agent acts on instructions you configure. You set the autonomy level: from "suggest only" (you approve every shipment) to "full auto" (the agent executes without confirmation). You can change this at any time in your settings.

At all autonomy levels, you are responsible for the shipments the agent generates under your account. If you've enabled full auto-execution and the agent ships something you didn't intend, that's a consequence of your autonomy configuration, not Relay's error.

Before enabling higher autonomy levels, set your spending rules carefully. The approval inbox exists so you can catch edge cases. Use it.

We don't guarantee that the agent will always select the cheapest carrier or fastest transit time. Rate data comes from Shippo's carrier connections, and carriers can change rates, add surcharges, or return incorrect estimates. We pass that data through as accurately as we can, but we're not responsible for rate discrepancies originating at the carrier level.

Limitation of liability

Relay is a software layer between you and carriers. We don't physically handle packages. Delivery delays, lost parcels, damage in transit, carrier errors, and surcharges applied after label purchase are the responsibility of the carrier, not Relay.

To the maximum extent permitted by applicable law, Ventrax LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or revenue, arising from your use of or inability to use Relay.

Our total liability to you for any claim arising out of these terms or your use of the service will not exceed the total fees you paid to Ventrax LLC in the 12 months before the event giving rise to the claim.

Some jurisdictions don't allow certain liability limitations. In those cases, the limitation will apply to the fullest extent permitted by law.

Disclaimer of warranties

Relay is provided "as is" and "as available." We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We don't warrant that the service will be uninterrupted, error-free, or that carrier rate data will be accurate at all times.

Intellectual property

Relay, its software, design, documentation, and the Ventrax LLC name are owned by Ventrax LLC. You may not copy, reproduce, or distribute any part of the service without written permission.

You retain ownership of your data: your shipment records, your store data, and any content you upload. You grant us a limited license to process and store that data solely to operate the service.

Termination

You can close your account at any time by emailing legal@getrelay.us. Wallet funds (minus any pending label charges) will be refunded within 10 business days.

We can terminate or suspend your account if you breach these terms, fail to pay, or use the service in a way that exposes Ventrax LLC to legal or financial risk. We'll give you written notice (by email) except where immediate termination is necessary to protect the integrity of the service or other users.

On termination, your right to use the service ends immediately. Sections covering liability, intellectual property, dispute resolution, and governing law survive termination.

Governing law and disputes

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law provisions.

Any dispute arising from or relating to these terms or your use of Relay will be resolved exclusively in the state or federal courts located in Wyoming. You consent to personal jurisdiction in those courts.

Before filing any legal claim, you agree to contact us at legal@getrelay.us and give us 30 days to try to resolve the issue directly.

Changes to these terms

We may update these terms from time to time. When we do, we'll post the revised version here and update the effective date. If the changes are material, we'll email you at least 14 days before they take effect. Continuing to use Relay after that date means you accept the revised terms.
